A public company building the infrastructure for open, decentralized AI.
† Historical, not a forecast: 1,226 TAO earned in the quarter ended June 30, 2026 on 61,201 TAO held at March 31, 2026, annualized. Measured before Bittensor’s Root Reborn upgrade (August 2026), which changed how root rewards accrue.

“xTAO has created an institutional product for Bittensor. We’re aligned on the vision and glad to be working alongside them.”
“We built Bittensor because ownership of AI should not be concentrated in the hands of a few companies. The technology inherent to machine learning is imitation — it reflects the people and incentives behind it, which is why it’s critical that networks like ours remain open, permissionless, and decentralized. Companies like xTAO show how aligned, long-term capital can accelerate adoption, strengthen validator operations, and bring institutional credibility to an ecosystem that must ultimately belong to everyone.”
xTAO Inc. is a publicly traded technology company building infrastructure for Bittensor and decentralized AI.
We generate revenue by operating a validator on Bittensor, the decentralized AI network.
We hold TAO, the native token of Bittensor, on our balance sheet and earn staking rewards.
We are building access for consumers and enterprises to products created on the Bittensor network, through our validator.

Growth includes TAO bought with financing proceeds and TAO earned from staking. *Approximate, as reported September 25, 2026.
† Historical, not a forecast: 1,226 TAO earned in the quarter ended June 30, 2026 on 61,201 TAO held at March 31, 2026, annualized. Measured before Bittensor’s Root Reborn upgrade (August 2026), which changed how root rewards accrue.
* Non-IFRS ratio: revenue of US$321,454 divided by operating expenses excluding US$53,532 of non-cash share-based compensation (US$121,096). The most directly comparable IFRS figure is revenue divided by total operating expenses of US$174,628, or 1.8×. Non-IFRS measures have no standardized meaning under IFRS and may not be comparable to similar measures of other issuers. Revenue is the TAO earned from staking, valued when earned; operating cash flow was −US$161,438, and turning TAO income into cash requires selling TAO.

All dollar figures in US dollars.
Infrastructure, security, uptime and yield versus peers.
More TAO staked through our validator, compounding over time.
US$3.97M in cash, short-term investments and stablecoins at June 30, 2026, against quarterly cash used in operations of US$0.16M.
Normal course issuer bid for up to 1,427,609 shares, active since June 30, 2026.
Judged on cash runway, expected return and dilution.
Today, a handful of companies control the most capable AI. Bittensor is the alternative: an open network where anyone can contribute AI, anyone can use it, and the best work is rewarded in TAO, the network’s native asset.
Markets that each produce one kind of AI: coding, inference, data and more.
Independent operators who compete to supply that AI.
The judges who score the work. xTAO operates here.
The asset the network issues to reward good work.

Karia Samaroo is the Founder and CEO of xTAO, a public company built to advance decentralized AI.
Karia founded xTAO to help build infrastructure around Bittensor and decentralized AI. He believes the next generation of AI should be open, accessible and owned by the people who contribute to it, and created xTAO as a long-term institution aligned with that future: a company listed on the TSX Venture Exchange that operates a validator on Bittensor and holds TAO on its balance sheet.
Before xTAO, Karia founded WonderFi and served as its CEO and Chairman. He founded WonderFi on the belief that digital assets would only reach the mainstream through a trusted, regulated platform. He built the brand, took the company public and brought together some of Canada’s best talent and technology under one roof. WonderFi grew into the country’s largest regulated crypto platform before its acquisition by Robinhood for C$250 million.
Karia Samaroo was formerly known as Ben Samaroo.

If you have questions, email k@xtao.co.
We do not set cookies on the Website, and we do not use advertising or cross-site tracking.
We store a few preferences in your browser’s local storage so the Website works as you expect: your light or dark theme, display preferences, the items in your merchandise bag, and whether you have already signed up for our updates. This information stays on your device, and you can clear it at any time in your browser settings.
Videos play in the provider’s own player (YouTube in its privacy-enhanced mode, or the publisher’s player) and load only when you press play. The provider may then collect information under its own privacy policy. The Fourthwall checkout and the other websites we link to may also use their own cookies.
We do not sell or rent personal information, we do not use it for advertising, and we do not make decisions about you based solely on automated processing.
Our emails are sent through MailerLite. Every email includes a link to unsubscribe, and you can also unsubscribe by writing to k@xtao.co. After you unsubscribe, we keep your email address on a suppression list so that we do not email you again, and we keep the record of your consent for as long as we need it to show that we complied with anti-spam laws, such as Canada’s Anti-Spam Legislation.
xTAO merchandise is sold and fulfilled by Fourthwall, which acts as the merchant of record. When you check out, you give your details to Fourthwall and its payment processors (such as Stripe and PayPal), and their privacy policies apply to that information. Fourthwall shares order information with us so that we can help with your order.
If you delegate (stake) TAO to xTAO’s validator, you do so on the Bittensor network with your own wallet, not through the Website. Your wallet address, the amount you stake and the related transactions are recorded on the public Bittensor blockchain, where anyone can see them. We use this public information to operate our validator, to account for the stake delegated to it, and in our financial reporting and regulatory filings, which may include aggregated figures. We do not try to link wallet addresses to individuals. If you contact us about your stake, we handle the information you give us as described in this Policy. Information recorded on a public blockchain cannot be changed or deleted by us.
We share personal information only with service providers that help us run the Website and our communications, and only so that they can provide those services to us:
We may also disclose personal information when the law, a regulator or a stock exchange requires it; to protect our rights, the safety of others or the security of the Website; or in connection with a merger, acquisition, financing or sale of assets, subject to appropriate confidentiality protections.
xTAO is based in the Cayman Islands. Our service providers process information in other countries, including the United States, Canada and countries of the European Union, whose data protection laws may differ from those where you live. Where the law requires, we rely on contractual safeguards for these transfers.
We keep personal information only for as long as we need it for the purposes in this Policy. Subscriber details are kept until you unsubscribe, and afterwards as described under “Email updates and unsubscribing”. Messages are kept as long as we need them to respond and for our records. Order information is kept as long as tax and accounting rules require. Analytics data is kept in aggregated or pseudonymous form.
Depending on where you live (for example, under the Cayman Islands Data Protection Act, Canada’s Personal Information Protection and Electronic Documents Act, or the EU or UK General Data Protection Regulation), you may have the right to ask for access to your personal information, to have it corrected or deleted, to restrict or object to how we use it, to receive a copy of it, and to withdraw your consent at any time.
To make a request, email k@xtao.co. We may need to confirm your identity, and we will reply within the time the law requires (generally 30 days). If you are not satisfied with our reply, you may complain to a data protection authority, such as the Office of the Ombudsman in the Cayman Islands, the Office of the Privacy Commissioner of Canada or the authority where you live.
We use reasonable technical, administrative and physical safeguards to protect personal information from unauthorised access, loss, misuse or alteration. However, no method of transmission over the Internet or of electronic storage is completely secure, and we cannot guarantee absolute security.
The Website is not directed at children. We do not knowingly collect personal information from anyone under 18. If we learn that we have, we will delete it.
The Website links to websites and services that xTAO does not operate, such as news outlets, regulatory filing services and video players. We are not responsible for their privacy practices or content, and we encourage you to read their privacy policies.
We may update this Policy from time to time to reflect changes in our practices or in the law. We will post the updated Policy on this page and change the “Last updated” date. If a change is material, we will give additional notice where the law requires it.

These are the terms of use (“Terms of Use”) for the products and services, content, functionality, materials, information and software made available on or through www.xtao.co (the “Website”), owned and operated by xTAO Inc. (“xTAO”, “we”, “us” or “our”), by you (“you” or “user”). You may be accessing the Website from a computer, mobile device, application or any other means now known or later devised; these Terms of Use govern your use of the Website and your conduct, whatever the means of access. Please read these Terms of Use carefully before you start to use the Website. By using the Website, you agree to follow and be bound by these Terms of Use, whether or not you have read them.
The Website provides general information about xTAO and its activities in the Bittensor ecosystem. It is not an offer to sell, or a solicitation of an offer to buy, any securities or digital assets in any jurisdiction. Nothing on the Website is investment, financial, legal, tax or accounting advice, or a recommendation of any kind.
Before making an investment decision, read xTAO’s public disclosure documents, which are filed on SEDAR+ (www.sedarplus.ca), and consult your own advisors. Information on the Website speaks only as of its date, or the date it was posted. If anything on the Website differs from xTAO’s filed disclosure documents, the filed documents prevail.
Some information on the Website, including in presentations, news releases and statements about xTAO’s plans, strategy, validator operations, TAO holdings, staking yields and the development of the Bittensor network, is forward-looking information within the meaning of applicable securities laws. It is based on assumptions and estimates that xTAO believes are reasonable, but it is subject to known and unknown risks and uncertainties, including the volatility of digital asset prices, changes to the Bittensor network and its rules, regulatory developments, operational and cybersecurity risks, and the other risks described in xTAO’s public filings. Actual results may differ materially. You should not place undue reliance on forward-looking information. Except as required by law, xTAO does not undertake to update it.
Some information on the Website, such as digital asset prices, network data and industry research, comes from third parties. xTAO believes these sources are reliable but has not independently verified the information and makes no representation as to its accuracy or completeness. Some figures are non-IFRS measures, which have no standardised meaning under IFRS and may not be comparable to similar measures presented by other issuers; xTAO’s public filings explain them and reconcile them to IFRS measures.
Digital assets such as TAO are highly volatile and can lose some or all of their value.
xTAO operates a validator on the Bittensor network, and TAO holders may delegate (stake) TAO to it. Delegating is done on the Bittensor network with your own wallet and software, not through the Website, and xTAO never takes custody of your TAO or your keys. You are responsible for your wallet, your keys and the transactions you make.
The Bittensor network’s rules determine how staking, rewards, fees and unstaking work, and those rules can change. Staking rewards are not guaranteed and can vary or stop, for example because of network changes, market conditions, validator performance or downtime. Depending on how and where you stake, your stake may also be exposed to the price of subnet tokens. The share of rewards that xTAO keeps as validator (its “take”) is set on the network and may change. Any staking returns shown on the Website are historical or illustrative and are not a promise of future returns.
Delegating is entirely at your own risk. It does not create any partnership, fiduciary, advisory or client relationship between you and xTAO. To the fullest extent permitted by law, xTAO is not liable for any loss arising from delegating to its validator, including losses from network events, software errors, market movements or changes to its take.
The Website is provided for your personal use and for information about xTAO’s activities in the Bittensor ecosystem, including its investments, staking and validator operations. You may not use the Website for any commercial purpose without xTAO’s prior written consent. You may not copy, reproduce, publish, distribute, modify or create derivative works from any of the content on the Website without xTAO’s prior written consent, except as allowed under “Media kit” below. Any unauthorised use of the Website or its content may violate copyright, trademark, privacy or other laws of the Cayman Islands or other jurisdictions.
The Website is offered to, and available to, users who are at least 18 years old, or older if the laws of their jurisdiction require it.
News media may use the logos, photographs and company description in our media kit to report on xTAO, provided they are not altered. Any other use requires xTAO’s prior written consent.
If you subscribe to our updates, we will send you information about xTAO by email, and you can unsubscribe at any time. Our Privacy Policy explains how we handle your details.
xTAO merchandise shown on the Website is sold and fulfilled by Fourthwall, which acts as the merchant of record. When you check out, you buy from Fourthwall, and Fourthwall’s terms, shipping and returns policies apply to your purchase. Prices are shown in U.S. dollars; taxes and shipping are calculated at checkout. Items are made to order, so returns and exchanges are generally not accepted except for printing errors or defects, as Fourthwall’s policies describe. Product images are illustrations, and colours, sizes and logo placement on the finished item may vary slightly. For help with an order, contact Fourthwall’s support or email k@xtao.co.
The Website and these Terms of Use are governed by the laws of the Cayman Islands. All disputes arising from these Terms of Use must be resolved exclusively by the courts of the Cayman Islands. By using the Website, you represent and warrant that your use complies with the law of your jurisdiction of residence.
These Terms of Use are expressly made subject to any laws, regulations, orders or other restrictions on export from the Cayman Islands of the Website, or of any information about it, that the government of the Cayman Islands may impose from time to time.
xTAO respects your right to privacy. Please review our privacy policy (the “Privacy Policy”), available at www.xtao.co/privacy-policy, for details of how we collect, use, disclose and otherwise manage your personal information. By using the Website, you acknowledge that your personal information will be handled as described in the Privacy Policy.
xTAO may change these Terms of Use, as well as any products, services, prices and programs mentioned on the Website, at any time, in its sole discretion and without notice. You are responsible for reviewing these Terms of Use often enough to stay aware of any changes. xTAO will endeavour to notify you of material changes by posting notice of them on the Website. Your continued use of any part of the Website after xTAO posts notice of changes to these Terms of Use (whether or not xTAO has notified you of them specifically) indicates your acknowledgement of the changes and your agreement to be bound by the revised Terms of Use. If you do not agree to all of these Terms of Use, you should not access, visit or participate in the Website. xTAO may seek all remedies available at law and in equity for any violation of these Terms of Use.
If you breach any of these Terms of Use, your authorisation to use the Website ends automatically, and you agree to destroy immediately any material you obtained from the Website (or derived from material you obtained from the Website). Any rights not expressly granted in these Terms of Use are reserved. These Terms of Use cover your use of the Website and do not necessarily cover your use of any services or products accessed through the Website.
xTAO will not be liable to you or any third party for any claims or actions arising or resulting from your use of, visit to or participation in the Website, or from any modification, suspension or termination of the Website or of your access to it.
THE WEBSITE AND ALL CONTENT, MATERIALS, INFORMATION, SOFTWARE, PRODUCTS AND SERVICES THAT MAY BE AVAILABLE ON OR THROUGH THE WEBSITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. xTAO EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. xTAO MAKES NO WARRANTY THAT: (A) THE WEBSITE OR ANY PRODUCTS OR SERVICES AVAILABLE ON OR THROUGH THE WEBSITE WILL MEET YOUR REQUIREMENTS; (B) THE WEBSITE WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE BASIS; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE WEBSITE OR ANY PRODUCTS OR SERVICES OFFERED THROUGH THE WEBSITE WILL BE ACCURATE OR RELIABLE; OR (D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE WEBSITE WILL MEET YOUR EXPECTATIONS. ANY CONTENT, MATERIALS OR INFORMATION DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE WEBSITE IS DONE AT YOUR OWN DISCRETION AND RISK. xTAO SHALL HAVE NO RESPONSIBILITY FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY CONTENT, MATERIALS OR INFORMATION. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM xTAO OR THROUGH THE WEBSITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE IN THESE TERMS OF USE.
IN NO EVENT SHALL xTAO, ITS OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF xTAO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (A) THE USE OF OR THE INABILITY TO USE THE WEBSITE OR ANY PRODUCTS OR SERVICES AVAILABLE ON OR THROUGH THE WEBSITE; (B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED, OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO, THROUGH OR FROM THE WEBSITE; (C) UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (D) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE WEBSITE; OR (E) ANY OTHER MATTER RELATING TO THE WEBSITE OR ANY PRODUCTS OR SERVICES AVAILABLE ON OR THROUGH THE WEBSITE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH JURISDICTIONS LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
You agree to indemnify, defend and hold harmless xTAO and its officers, directors, employees, agents, licensors and suppliers from and against all losses, expenses, damages and costs, including reasonable legal fees, resulting from any violation of these Terms of Use or any activity related to your use of the Website (including negligent or wrongful conduct) by you or by any other person using the Website on your behalf.
